Terms and Conditions
METRO BANK ONLINE BANKING CONSUMER SERVICES AGREEMENT AND DISCLOSURE
Metro Bank Online Banking Consumer Banking Agreement and Disclosure. This Agreement and Disclosure ("Agreement") governs the use of Metro Bank Online Banking for Metro Bank consumer accounts and provides disclosure in compliance with federal laws regulating electronic funds transfer services ("EFT services"). Any transfer of funds initiated through an electronic terminal, telephone, computer or magnetic tape is an electronic funds transfer. By clicking on the "Accept" button, you accept and agree to be bound by this Agreement as it may from time to time be modified by Metro Bank, its subsidiaries or affiliates (collectively, "Metro Bank"). The terms and conditions of the deposit agreements and disclosures for each of your Metro Bank consumer accounts, as well as your other agreements with Metro Bank such as loan agreements, continue to apply. All transactions using Metro Bank Online Banking are conducted based on signed written agreements between you and Metro Bank, and the terms of all such written agreements are binding on you and us. No other statements or representations, whether made in person, online, electronically, in written, graphic or oral communication, serve to alter the terms of these agreements. Your joint account holders and other persons who access Metro Bank Online Banking using your Access ID and Online Banking PIN are also bound by the terms and conditions contained in this Agreement for Metro Bank Online Banking Services.
The words "you" and "yours" as used in this Agreement refer to each person who accesses or uses Metro Bank Online Banking. The words "we", "us" and "our" refer to Metro Bank. "Authorized User" means any person using or accessing your Account using your Access ID and Online Banking PIN.
Account Access. You may use your Metro Bank Online Banking Access ID & Online Banking PIN to:
• Transfer funds between your Metro Bank consumer accounts.
• View the balance in each of your consumer accounts.
• See the transaction history for any of your consumer accounts.
• Place "Stop Payment" requests on consumer transaction accounts.
• Reorder checks for consumer transaction accounts.
• Utilize the Bill Pay service to make payments from any of your consumer checking accounts to any Payee.
• Perform any of the other consumer banking services offered or to be offered in the future.
Limitations on the Use of Metro Bank Online Consumer Banking.
Access. You will be denied access if you do not provide the valid Access ID and/or Online Banking PIN. Your access will be denied if you exceed the number of invalid attempts allowed by us. There are no limits on the number of times you can access the system each day. Metro Bank Online Banking service is only available to our customers with Internet access and authorized access to at least one of the following Metro Bank consumer accounts:
• Checking
• Money Market
• Savings
• CD
• IRA
• Loan
• Line of Credit
• Mortgage
• Credit Card
Access to authorized business accounts is permitted to the extent set forth in the terms and conditions of the primary account agreement(s) governing your consumer account(s) which you signed at the time of opening your consumer account(s) with us.
Transfers. Funds can be transferred between many of your Metro Bank accounts. The amount of each transfer is limited to the available balance in the account from which the transfer is to be made.
Transfer Timing & Confirmation
• You can verify that a transfer has been completed by clicking on the TRANSFERS icon and then Transfer History.
• If you schedule an Immediate Transfer from a Deposit Account, or a Personal or Home Equity Line of Credit, it will occur instantly.
• If you schedule an Immediate Transfer to a Loan, Line of Credit or Mortgage, it will be credited by the next banking day.
• While Cash Deposits made to tellers from 6 PM on during a banking day are instantly reflected in Metro Bank Online Banking, this money will show as available, but should not be transferred until the next banking day.
Transfer Options

o Personal Lines of Credit
o Home Equity Lines of Credit

• Transfers can only be made into the following accounts:
o Loans
o Mortgages
o Cash Reserve Lines of Credit
o Holiday Clubs

• Transfers related to the following accounts cannot be made:
o CDs
o IRAs
o Passbook Savings

• Regulations allow for no more than 6 transfers a month from each of the accounts below. See the Transfer and Withdrawal Limitations section for details.
o Money Market
o Young Savers
o Statement Savings

• Transfers from Lines of Credit that are past due are not allowed.
Fees. Metro Bank Online Banking, including the Bill Pay Service, is provided free of charge. If you use the Service Center to place a stop payment on a check, the fee is $30.00.
Consumer Liability. Tell us AT ONCE if you believe your Metro Bank Online Banking Access ID or Online Banking PIN has been lost or stolen or may be or may have been used without your permission. Telephoning immediately is the best way of minimizing your possible losses. You could lose all the money in your account plus your maximum overdraft line of credit, if applicable. If you tell us within 2 business days, you can lose no more than $50 if someone used your Access ID or Online Banking PIN without your permission.
If you do NOT tell us within 2 business days after you learn of the loss or theft of your Access ID or Online Banking PIN, and we can prove we could have stopped someone from using your Access ID without your permission if you had told us, you could lose as much as $500. Also, if your statement shows transfers that you did not make, tell us at once. If you do not tell us within 60 days after the statement was mailed to you, you may not get back any money you lost after the 60 days if we can prove that we could have stopped someone from taking the money if you had told us in time. If a good reason (such as a long trip or a hospital stay) kept you from telling us, we will extend the time periods.
Contact in Event of Unauthorized Transfer. If you believe your Access ID or Online Banking PIN has been lost or stolen or that someone has transferred or may transfer money from your account without your permission, call 1-800-204-0541, right away. While phoning is the fastest way to inform us, you also have the option to Send A Message within Metro Bank Online Banking, or to write:

Documentation. In addition to being able to print any Metro Bank Online Banking screen, (1) Pre-authorized credits: If you have arranged to have direct deposits made to your account at least once every 60 days from the same person or company, you can call us at 1-800-204-0541 to find out whether or not the deposit has been made. (2) Stop Payment Rights: If you have arranged to make regular electronic fund transfers out of your account(s), you can stop any of these by calling us at 1-800-204-0541 or by writing us at Metro Bank, attn: Electronic Banking Dept, 3801 Paxton St. Harrisburg, PA 17111-1418, so that we receive your request three (3) business days before the scheduled payment. If you call, we may require you to put your request in writing and get it to us within fourteen (14) days after you call. There is a $30.00 charge for each stop payment order. (3) Notice of varying amounts: If these regular payments may vary in amount, the payee will tell you, ten (10) days before each payment, when it will be made and how much it will be. You may choose instead to get this notice only when the payment would differ by more than a certain amount from the previous payment or when the amount would fall outside certain limits that you set. (4) Periodic statements: You will get a monthly account statement (unless there are no transfers in a particular month). In any case you will get a statement at least quarterly, even if no transfers have occurred.
Account Rules and Regulations. You agree that your use of Metro Bank Online Banking as described in this Agreement is further subject to the terms and conditions of the primary account agreement(s) pertaining to your account(s) which you signed at the time of opening your account(s) with Metro Bank.
Financial Institution's Liability. If we do not complete a transfer to or from your account on time or in the correct amount according to our Agreement with you, we will be liable for your losses or damages. However, there are some exceptions. We will not be liable, for instance:
1. If, through no fault of ours, you do not have enough money in your account to make the transfer.
2. If the transfer would go over the credit limit on your overdraft line.
3. If Metro Bank Online Banking was not working properly and you knew about the breakdown when you started the transfer.
4. If circumstances beyond our control (such as fire or flood) prevent the transfer, despite reasonable precautions that we have taken.
5. If a court or other legal order directs us to prohibit withdrawals from the account.
6. If your account is closed, or if it has been frozen.
7. If you, or anyone authorized by you, commits any fraud or violates any law or regulation.
8. If you have not properly followed the terms of use for Bill Pay.
9. There may be other exceptions stated in your primary account agreement.
Error-Resolution Notice. In Case of Errors or Questions about Your Electronic Transfers, Send A Message within Metro Bank Online Banking, call 1-800-204-0541, or write:

As soon as you can, if you think your statement or receipt is wrong or if you need more information about a transfer listed on the statement or receipt. We must hear from you no later than 60 days after we sent the FIRST statement on which the problem or error appeared.
1. Tell us your name and account number.
2. Describe the error or the transfer you are unsure about, and explain as clearly as you can why you believe it is an error or why you need more information.
3. Tell us the dollar amount of the suspected error.
If you tell us orally, we may require that you send us your complaint or question in writing within 10 business days.
We will determine whether an error occurred within 10 business days after we hear from you and will correct any error promptly. If we need more time, however, we may take up to 45 days to investigate your complaint or question. If we decide to do this, we will credit your account within 10 business days for the amount you think is in error, so that you will have the use of the money during the time it takes us to complete our investigation. If we ask you to put your complaint or question in writing and we do not receive it within 10 business days, we may not credit your account.
For errors involving new accounts, point-of-sale, or foreign-initiated transactions, we may take up to 90 days to investigate your complaint or question. For new accounts, we may take up to 20 business days to credit your account for the amount you think is in error.
We will tell you the results within three business days after completing our investigation. If we decide that there was no error, we will send you a written explanation. You may ask for copies of the documents that we used in our investigation.
Termination. This Authorization will remain in effect until you or we terminate it. A termination by you will not be effective until we have received from you a signed written notice of termination and have had a reasonable time to act upon it. If more than one-person signs an Authorization, any one of you can terminate the effectiveness of this Authorization.
Internet Access and Security. It is your responsibility to utilize a browser that supports 128-bit encryption so that you may access Metro Bank Online Banking. Your use of any browser may be subject to the license agreements of the browser manufacturer, in addition to the terms and conditions of this Agreement, our Internet Terms of Use and our Privacy & Security Policy, which are incorporated herein by reference and are accessible through the homepage of our mymetrobank.com website. We are not responsible for notifying you of any upgrades, fixes or enhancements to, or for providing technical or other support for, any browser or for any compromise or loss of data transmitted across computer networks or telecommunications facilities, including, but not limited to, the Internet.
You acknowledge and agree that you are responsible for obtaining Internet access through an Internet service provider of your choice and that you may be subject to fees imposed by such Internet service provider and for any associated communications service provider charges.
You acknowledge and agree that there are certain security, corruption, transmission error and access availability risks associated with using open networks such as the Internet and you hereby expressly assume such risks (to the extent the law allows you to do so). You acknowledge that you have requested the Metro Bank Online Banking service, have made your own independent assessment of the adequacy of the Internet as a delivery mechanism for accessing information and initiating transactions and other instructions and that you have determined to proceed with use of the Metro Bank Online Banking service based on your independent assessment.
Security of Internet Communications. Metro Bank Online Banking includes secure messaging capabilities within the Online Banking System allowing you to send and receive secure messages to and from Metro Bank within Metro Bank Online Banking.
Internet e-mail messages from or to external e-mail addresses are not secure, can be intercepted by third parties and will not be used by Metro Bank to send or receive e-mail containing confidential account information.
Business Days. For purposes of these disclosures, our business days are Monday through Friday. Holidays are not included.
Confidentiality. We will disclose information to third parties about your account or the transfers that you make:
1. Where it is necessary for completing transfers, or
2. In order to verify the existence and condition of your account for a third party, such as a credit bureau or merchant, or
3. In order to comply with Government agency or court orders, or
4. If you give us your written permission.
Electronic Stop Payment Service. You may use Metro Bank Online Banking to place a stop payment order on any check you wrote. If you use this service, you agree to the following terms and conditions:
• The stop payment order is effective for six (6) months unless renewed before the end of the six (6) months in writing or through Metro Bank Online Banking. Each renewal is effective for six (6) months.
• The information on the stop payment order must be correct, including the exact amount of the check, the check number, the date and the Payee.
• You understand that there may be claims or demands made against us as a result of your request to us. You agree that you will be responsible to us if any claim or demand is made against us as a result of us having acted as you requested. You agree to reimburse us for any costs, expenses or attorney's fees that we have incurred in defending ourselves against any such claims or demands.
• Requests made before 6:00 P.M. are entered on the current day and will be effective one business day after receipt. Requests made after 6:00 P.M. may be entered on the next business day and will be effective on the second business day after receipt. Requests made on Saturday, Sunday and Federal Holidays are entered on the next business day and will be effective on the second business day after receipt.
• You agree to the stop payment fee for checks written outside of Metro Bank Online as provided in our Service Charges and Fees Schedule.
Transfer and Withdrawal Limitations. If your account is a savings or money market deposit account, federal law requires that an Account Holder may make no more than six (6) transfers and/or withdrawals during any one (1) calendar month to another account of your accounts with us or to a third party by means of pre-authorization or automatic transfer, or telephonic (including data transmission) agreement, order or instruction. No more than three (3) of the six (6) transfers may be made by check, draft, debit card, or similar order made by you or payable to third parties including Point of Sale (POS) transactions. If you exceed more than three (3) such transfers, we need not honor the item. A "pre-authorized transfer" includes any arrangement by us to pay a third party from your account upon written or oral instruction [including an order received through an automated clearing house (ACH) or any arrangement by us to pay a third party from your account at a predetermined time or on a fixed schedule]. Transfers and withdrawals made in person, by messenger, by mail or at an ATM are unlimited.
New Features. From time to time we may introduce new features, or modify or delete existing features. We shall notify you of any of these changes in accord with applicable law. By using any new or modified features when they become available, you agree to be bound by the rules concerning such features.
No Warranty. WE MAKE NO REPRESENTATION OR WARRANTY, WHETHER STATUTORY, OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO THE SERVICE.
Actions Beyond Our Control. We shall not be responsible for any occurrence, act or omission not within our reasonable control, including, without limitation, the inoperability or malfunction of any communications, computer or payment system, power outages, acts of God, war, labor difficulties, or actions of any government either in its sovereign or contractual capacity.
Amendment of This Agreement. From time to time we may amend or change the terms of this Agreement. We shall use reasonable efforts to give you prior written notice of any such change. Whenever required by law, we will present the amended Agreement to you and request your acceptance.
Online Banking PIN. Online Banking PINs are selected at sign up (6 to 10 numbers and/or letters) for use with your Metro Bank Online Banking Service so that you may access the services offered. Within Metro Bank Online Banking, you can instantly change your Online Banking PIN anytime. Click on SERVICES and select Change Online Banking PIN to begin this brief process.
Your Online Banking PIN is your electronic signature which identifies you to us and authenticates and validates the directions given by you, just as your actual signature and other proof identify you and authenticate and validate your directions to us. Your Online Banking PIN is an identification code that is personal and confidential and you acknowledge that the use of your Online Banking PIN with Metro Bank Online Banking Service is a security method by which we are helping you to maintain the security of your account(s). Therefore, YOU AGREE NOT TO DIVULGE YOUR ONLINE BANKING PIN TO ANYONE AND TO TAKE ALL REASONABLE PRECAUTIONS TO PROTECT OTHERS FROM LEARNING YOUR ONLINE BANKING PIN. IF YOU PERMIT ANY PERSON OR ENTITY TO USE YOUR ACCESS ID AND ONLINE BANKING PIN TO ACCESS OR USE THE METRO BANK ONLINE BANKING SERVICE OR YOUR ACCOUNTS, YOU ARE RESPONSIBLE FOR ANY TRANSACTIONS OR ACTIVITIES INITIATED BY THEM. IF YOU BELIEVE THE SECURITY OF YOUR ONLINE BANKING PIN OR OTHER ACCESS OR ACCOUNT INFORMATION HAS BEEN OR MAY BE COMPROMISED, YOU AGREE TO NOTIFY US IMMEDIATELY AT 1-800-204-0541
Other Agreements. In addition to this Agreement, you agree to be bound by and comply with such other terms and conditions as we may furnish to you in connection with either this service or products which may be accessed via this service, including but not limited to Metro Bank’s rules and regulations, the Internet Terms of Use and Privacy & Security Policy accessible through the homepage of our mymetrobank.com website, and applicable state and federal laws and regulations.
Notices. All notices from us will be effective when we have mailed them or delivered them to your last known address on our records, or as otherwise allowed by law. Notices from you will be effective when received by us at the address specified in this Agreement. We reserve the right to change the terms and conditions upon which this service is offered. We will mail notice to you at least twenty-one (21) days before the effective date of any change, if required by law. Use of this service is subject to existing regulations governing your account and any future changes to those regulations.
Enforcement. In the event either party brings a legal action to enforce this Agreement or collect amounts owing as a result of any Account transaction, the prevailing party shall be entitled to reasonable attorneys' fees and costs, including fees on any appeal, subject to any limits under applicable law. Except for equitable relief sought by us, you agree that the state and federal courts of Pennsylvania shall be the sole jurisdiction for the enforcement and resolution of disputes under this Agreement. This Agreement shall be governed by applicable federal law and by the laws of the state of Pennsylvania without regard to its rules on conflicts of laws. This Agreement is subject to the terms of the primary agreements governing your accounts with us. In the event of a conflict between this Agreement and the primary account agreements, the primary account agreements shall prevail.
Assignment. You may not assign this Agreement. This Agreement is binding upon your heirs and Metro Bank’s successors and assigns.
Waiver. No waiver of any right or obligation hereunder shall be deemed to imply any waiver of any other present or future obligation hereunder whether similar or dissimilar.
Venue. Disputes arising from the use of this Website shall be exclusively subject to the jurisdiction of any federal or state court for the State of Pennsylvania.
Severability. If a court of competent jurisdiction determines that a portion of this Agreement is unenforceable, such portion shall be modified solely to the extent necessary to cause such portion to be enforceable and this Agreement, as so modified, shall otherwise remain in full force and effect.
Limitation of Liability. IN NO EVENT WILL METRO BANK OR ITS SUBSIDIARIES, AFFILIATES, REPRESENTATIVES, CONTRACTORS, OR THEIR RESPECTIVE OFFICERS, DIRECTORS OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, WHETHER UNDER A CONTRACT, TORT OR ANY OTHER THEORY OF LIABILITY, ARISING IN CONNECTION WITH (1) ANY PARTY'S USE OF OUR WEBSITES, INCLUDING, WITHOUT LIMITATION, METRO BANK ONLINE BANKING, OR ANY LINKED SITE; (2) ANY FAILURE, ERROR, OMISSION, INTERRUPTION, DEFECT, DELAY, COMPUTER VIRUS, LINE SYSTEM FAILURE OR LOSS OF DATA; (3) ANY LOSS OF USE OF OUR WEBSITES, INCLUDING, WITHOUT LIMITATION, METRO BANK ONLINE BANKING, OR ANY LINKED SITE; (4) ANY WEBSITE OPERATED BY ANY THIRD PARTY; OR (5) ANY CONTENTS OF THE METRO BANK WEBSITES OR ANY LINKED SITE, EVEN IF METRO BANK IS AWARE OF THE POSSIBILITY OF SUCH DAMAGES.

METRO BANK ONLINE BANKING BUSINESS SERVICES AGREEMENT AND DISCLOSURE

This Agreement and Disclosure ("Agreement") governs the use of Metro Bank Online Banking for Business accounts and provides disclosures in compliance with federal laws regulating electronic funds transfer services ("EFT services"). Any transfer of funds initiated through an electronic terminal, telephone, computer or magnetic tape is an electronic funds transfer. By clicking on the "Accept" button you accept and agree to be bound by this Agreement as it may from time to time be modified by Metro Bank, its subsidiaries or affiliates (collectively, "Metro Bank"). The terms and conditions of the deposit agreements and disclosures for each of your Metro Bank Business accounts, as well as your other agreements with Metro Bank such as loan agreements, continue to apply. All transactions using Metro Bank Online Banking are conducted based on signed written agreements between you and Metro Bank, and the terms of all such written agreements are binding on you and us. No other statements or representations, whether made in person, online, electronically, in written, graphic or oral communication, serve to alter the terms of these agreements. Your joint account holders and other persons who access Metro Bank Online Banking using your Access ID and Online Banking PIN and Metro Bank Online Banking Services are also bound by the terms and conditions contained in this Agreement
The words "you" and "yours" as used in this Agreement refer to the authorized person or people who maintain a Business account at Metro Bank with any Service attached to it. The words "we", "us" and "our" refer to Metro Bank. "Authorized User" means any person you designate as your agent entitled to use your Account.
Metro Bank Online Banking Services. You may use Metro Bank Online Banking services with your Access ID and Online Banking PIN utilizing your personal computer to access business account information and to perform certain transactions on business accounts for which you are authorized. The following services are available:
A. Transfer funds between your Metro Bank business accounts.
B. View the balance in each of your business accounts.
C. See the transaction history for any of your business accounts.
D. Place "Stop Payment" requests on business transaction accounts.
E. Re-Order checks for business transaction accounts.
F. Utilize the Bill Pay service to make payments from any of your business checking accounts to any Payee.
G. Perform any of the other business banking services offered or to be offered in the future.
You authorize us to debit or credit your business account(s) based upon the transactions executed using Metro Bank Online Banking Services.
Limitations on the Use of Metro Bank Online Business Banking.

In any case you will get a statement at least quarterly, even if no transfers have occurred.
Account Rules and Regulations. You agree that your use of Metro Bank Online Banking as described in this Agreement is further subject to the terms and conditions of the primary account agreement(s) pertaining to your business account(s) which you signed at the time of opening your business account(s) with Metro Bank.

Business Liability. You agree to contact us immediately if money is missing from your account or if your Access ID or Online Banking PIN has been lost or stolen, or if you believe they may be used without your authorization. Telephoning immediately is the best way to minimize losses. You agree to cooperate with us in the investigation of any claim or dispute and provide us with the necessary information to assist us in resolving your claim or dispute.

Financial Institution's Liability. If we do not complete a transfer to or from your account on time or in the correct amount according to our Agreement with you, we will be liable for your losses or damages. However, there are some exceptions. We will not be liable, for instance:
1. If, through no fault of ours, you do not have enough money in your account to make the transfer.
2. If the transfer would go over the credit limit on your overdraft line.
3. If Metro Bank Online Banking was not working properly and you knew about the breakdown when you started the transfer.
4. If circumstances beyond our control (such as fire or flood) prevent the transfer, despite reasonable precautions that we have taken.
5. If a court or other legal order directs us to prohibit withdrawals from the account.
6. If your account is closed, or if it has been frozen.
7. If you, or anyone authorized by you, commits any fraud or violates any law or regulation.
8. If you have not properly followed the terms of use for Bill Pay.
9. There may be other exceptions stated in your primary account agreement.

Termination of Metro Bank Online Banking Services. You agree that we may terminate this Agreement and your use of the Metro Bank Online Banking Services if:
• You or any authorized user of your Online Banking PIN breach this or any other agreement with us.
• We have reason to believe that there has been an unauthorized use of your Online Banking PIN.
• We notify you or any other party to your business account that we have cancelled or will cancel this Agreement.
• You or any other party to your account can terminate this Agreement by notifying us in writing.
• Termination of service will be effective the first business day following receipt of written notice. Termination of this Agreement will not affect the rights and responsibilities of the parties under this Agreement for transactions initiated before termination.

Internet Access and Security. It is your responsibility to utilize a browser that supports 128-bit encryption so that you may access Metro Bank Online Banking. Your use of any browser may be subject to the license agreements of the browser manufacturer, in addition to the terms and conditions of this Agreement, our Internet Terms of Use and our Privacy & Security Policy, which are incorporated herein by reference and are accessible through the homepage of our mymetrobank.com website. We are not responsible for notifying you of any upgrades, fixes or enhancements to, or for providing technical or other support for, any browser or for any compromise or loss of data transmitted across computer networks or telecommunications facilities, including, but not limited to, the Internet.

You acknowledge and agree that you are responsible for obtaining Internet access through an Internet service provider of your choice and that you may be subject to fees imposed by such Internet service provider and for any associated communications service provider charges.

You acknowledge and agree that there are certain security, corruption, transmission error and access availability risks associated with using open networks such as the Internet and you hereby expressly assume such risks (to the extent the law allows you to do so). You acknowledge that you have requested the Metro Bank Online Banking service, have made your own independent assessment of the adequacy of the Internet as a delivery mechanism for accessing information and initiating transactions and other instructions and that you have determined to proceed with use of the Metro Bank Online Banking service based on your independent assessment.
Security of Internet Communications. Metro Bank Online Banking includes secure messaging capabilities within the Online Banking System allowing you to send and receive secure messages to and from Metro Bank within Metro Bank Online Banking.

Internet e-mail messages from or to external e-mail addresses are not secure, can be intercepted by third parties and will not be used by Metro Bank to send or receive e-mail containing confidential account information.
Business Days. For purposes of these disclosures, our business days are Monday through Friday. Holidays are not included.
Confidentiality. We will disclose information to third parties about your account or the transfers that you make:
1. Where it is necessary for completing transfers, or
2. In order to verify the existence and condition of your account for a third party, such as a credit bureau or merchant, or
3. In order to comply with Government agency or court orders, or
4. If you give us your written permission.

Electronic Stop Payment Service. You may use Metro Bank Online Banking to place a stop payment order on any check you wrote. If you use this service, you agree to the following terms and conditions:
• The stop payment order is effective for six (6) months unless renewed before the end of the six (6) months in writing or through Metro Bank Online Banking. Each renewal is effective for six (6) months.
• The information on the stop payment order must be correct, including the exact amount of the check, the check number, the date and the Payee.
• You understand that there may be claims or demands made against us as a result of your request to us. You agree that you will be responsible to us if any claim or demand is made against us as a result of us having acted as you requested. You agree to reimburse us for any costs, expenses or attorney's fees that we have incurred in defending ourselves against any such claims or demands.
• Requests made before 6:00 P.M. are entered on the current day and will be effective one business day after receipt. Requests made after 6:00 P.M. may be entered on the next business day and will be effective on the second business day after receipt. Requests made on Saturday, Sunday and Federal Holidays are entered on the next business day and will be effective on the second business day after receipt.
• You agree to the stop payment fee for checks written outside of Metro Bank Online as provided in our Service Charges and Fees Schedule.

Transfer and Withdrawal Limitations. If your account is a savings or money market deposit account, federal law requires that an Account Holder may make no more than six (6) transfers and/or withdrawals during any one (1) calendar month to another account of your accounts with us or to a third party by means of pre-authorization or automatic transfer, or telephonic (including data transmission) agreement, order or instruction. No more than three (3) of the six (6) transfers may be made by check, draft, debit card, or similar order made by you or payable to third parties including Point of Sale (POS) transactions. If you exceed more than three (3) such transfers, we need not honor the item. A "pre-authorized transfer" includes any arrangement by us to pay a third party from your account upon written or oral instruction [including an order received through an automated clearing house (ACH) or any arrangement by us to pay a third party from your account at a predetermined time or on a fixed schedule]. Transfers and withdrawals made in person, by messenger, by mail or at an ATM are unlimited.
New Features. From time to time we may introduce new features, or modify or delete existing features. We shall notify you of any of these changes in accord with applicable law. By using any new or modified features when they become available, you agree to be bound by the rules concerning such features.
No Warranty. WE MAKE NO REPRESENTATION OR WARRANTY, WHETHER STATUTORY, OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO THE SERVICE.
Actions Beyond Our Control. We shall not be responsible for any occurrence, act or omission not within our reasonable control, including, without limitation, the inoperability or malfunction of any communications, computer or payment system, power outages, acts of God, war, labor difficulties, or actions of any government either in its sovereign or contractual capacity.
Amendment of This Agreement. From time to time we may amend or change the terms of this Agreement. We shall use reasonable efforts to give you prior written notice of any such change. Whenever required by law, we will present the amended Agreement to you and request your acceptance.
Online Banking PIN. Online Banking PINs are selected at sign up (6 to 10 numbers and/or letters) for use with your Metro Bank Online Banking Service so that you may access the services offered. Within Metro Bank Online Banking, you can instantly change your Online Banking PIN anytime. Click on SERVICES and select Change Online Banking PIN to begin this brief process.
Your Online Banking PIN is your electronic signature which identifies you to us and authenticates and validates the directions given by you, just as your actual signature and other proof identify you and authenticate and validate your directions to us. Your Online Banking PIN is an identification code that is personal and confidential and you acknowledge that the use of your Online Banking PIN with Metro Bank Online Banking Service is a security method by which we are helping you to maintain the security of your account(s). Therefore, YOU AGREE NOT TO DIVULGE YOUR ONLINE BANKING PIN TO ANYONE AND TO TAKE ALL REASONABLE PRECAUTIONS TO PROTECT OTHERS FROM LEARNING YOUR ONLINE BANKING PIN. IF YOU PERMIT ANY PERSON OR ENTITY TO USE YOUR ACCESS ID AND PIN TO ACCESS OR USE THE METRO BANK ONLINE BANKING SERVICE OR YOUR ACCOUNTS, YOU ARE RESPONSIBLE FOR ANY TRANSACTIONS OR ACTIVITIES INITIATED BY THEM. IF YOU BELIEVE THE SECURITY OF YOUR ONLINE BANKING PIN OR OTHER ACCESS OR ACCOUNT INFORMATION HAS BEEN OR MAY BE COMPROMISED, YOU AGREE TO NOTIFY US IMMEDIATELY AT 1-800-204-0541.
Other Agreements. In addition to this Agreement, you agree to be bound by and comply with such other terms and conditions as we may furnish to you in connection with either this service or products which may be accessed via this service, including but not limited to Metro Bank’s rules and regulations, the Internet Terms of Use and Privacy & Security Policy accessible through the homepage of our mymetrobank.com website, and applicable state and federal laws and regulations.
Notices. All notices from us will be effective when we have mailed them or delivered them to your last known address on our records, or as otherwise allowed by law. Notices from you will be effective when received by us at the address specified in this Agreement. We reserve the right to change the terms and conditions upon which this service is offered. We will mail notice to you at least twenty-one (21) days before the effective date of any change, if required by law. Use of this service is subject to existing regulations governing your account and any future changes to those regulations.
Enforcement. In the event either party brings a legal action to enforce this Agreement or collect amounts owing as a result of any Account transaction, the prevailing party shall be entitled to reasonable attorneys' fees and costs, including fees on any appeal, subject to any limits under applicable law. Except for equitable relief sought by us, you agree that the state and federal courts of Pennsylvania shall be the sole jurisdiction for the enforcement and resolution of disputes under this Agreement. This Agreement shall be governed by applicable federal law and by the laws of the state of Pennsylvania without regard to its rules on conflicts of laws. This Agreement is subject to the terms of the primary agreements governing your accounts with us. In the event of a conflict between this Agreement and the primary account agreements, the primary account agreements shall prevail.
Assignment. You may not assign this Agreement. This Agreement is binding upon your heirs and Metro Bank’s successors and assigns.
Waiver. No waiver of any right or obligation hereunder shall be deemed to imply any waiver of any other present or future obligation hereunder whether similar or dissimilar.
Venue. Disputes arising from the use of this Website shall be exclusively subject to the jurisdiction of any federal or state court for the State of Pennsylvania.
Severability. If a court of competent jurisdiction determines that a portion of this Agreement is unenforceable, such portion shall be modified solely to the extent necessary to cause such portion to be enforceable and this Agreement, as so modified, shall otherwise remain in full force and effect.
Limitation of Liability. IN NO EVENT WILL METRO BANK OR ITS SUBSIDIARIES, AFFILIATES, REPRESENTATIVES, CONTRACTORS, OR THEIR RESPECTIVE OFFICERS, DIRECTORS OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, WHETHER UNDER A CONTRACT, TORT OR ANY OTHER THEORY OF LIABILITY, ARISING IN CONNECTION WITH (1) ANY PARTY'S USE OF OUR WEBSITES, INCLUDING, WITHOUT LIMITATION, METRO BANK ONLINE BANKING, OR ANY LINKED SITE; (2) ANY FAILURE, ERROR, OMISSION, INTERRUPTION, DEFECT, DELAY, COMPUTER VIRUS, LINE SYSTEM FAILURE OR LOSS OF DATA; (3) ANY LOSS OF USE OF OUR WEBSITES, INCLUDING, WITHOUT LIMITATION, METRO BANK ONLINE BANKING, OR ANY LINKED SITE; (4) ANY WEBSITE OPERATED BY ANY THIRD PARTY; OR (5) ANY CONTENTS OF THE METRO BANK WEBSITES OR ANY LINKED SITE, EVEN IF METRO BANK IS AWARE OF THE POSSIBILITY OF SUCH DAMAGES.
